Amendments to the Ontario Not-for-Profit Corporations Act (ONCA)



The Ontario Not-for-Profit Corporations Act (ONCA) was amended recently. These amendments come into effect on October 1st, 2023. They clarify the particulars about the holding of electronic meetings, and for giving notice, voting at and adjourning such meetings, including that a person who attends an electronic meeting is deemed to be present in person at the meeting. The changes also clarify that corporate records may be held electronically.


Additional changes permit remote access to certain corporate documents for identified persons, and clarify that the composition of any audit committee must include at least one Director. For not-for-profit corporations that have already transitioned to ONCA, additional changes may need to be made to your by-laws.
